Toshiba chip deal is far from over: Hon Hai


NEW TAIPEI, Taiwan (Kyodo) -- Terry Gou, chairman of Hon Hai Precision Industry Co., better known by its trade name Foxconn, on Thursday criticized the bidding process for Toshiba Corp.'s memory chip unit and insisted his firm is still a contender.
 
 
Speaking at a press conference after a stockholders' meeting in New Taipei, Gou alleged that the bidding process was rigged and called it an "international joke" and a "high-tech hoax."


"It is wrong to see Hon Hai as an enemy," he told reporters, adding, "Toshiba's real enemy is Samsung," referring to the memory chip leader Samsung Electronics.


Gou tore up a local newspaper headlined: Hon Hai out of bidding


to buy Toshiba. "Let's just wait and see," he said.


Cash-strapped Toshiba said Wednesday it has picked a Japanese government-led consortium as the preferred bidder for its profitable Toshiba Memory Corp.


The consortium is led by the public-private Innovation Network Corp. of Japan, a state-backed fund.


Gou pointed out that Toshiba, reeling from its worst-ever financial crisis, has 800 billion yen (about $7.2 billion) worth of debt and that, if it decides to accept the consortium's offer, it is tantamount to allowing the INCJ to use taxpayers' money to pay off the debt.


Addressing Japanese government concerns about an outflow of sensitive technology due to Taiwan-based Hon Hai's links to China, Gou dismissed such speculation. He said his plan is to move manufacturing to the United States, which would not only diversify risks, but also balance bilateral trade between Japan and the United States.


Gou specifically lashed out at an official of Japan's Ministry of Economy, Trade and Industry, which was involved in organizing the consortium.


He alleged the official wants Hon Hai to abandon the bid altogether, but if it insisted on going ahead, to instead just provide funding and let the consortium run the company.


"An official holding personal grudges is pushing Toshiba to an unknown future," Gou said.


Citing the example of Hon Hai's successful takeover of Japanese electronics giant Sharp Corp. last year, Gou said he believes his firm has more than a 50 percent chance of winning the bid for the Toshiba unit.


Toshiba hopes the sale of the unit, the world's second-largest maker of NAND flash memory chips, could raise at least 2 trillion yen to avoid delisting from the Tokyo Stock Exchange.


Apple Inc. supplier Hon Hai was at one point seen as a strong bidder for the Toshiba unit, with the Taiwanese electronics maker offering the highest bid of nearly 3 trillion yen.


It is partnering with Sharp, SoftBank Group of Japan and U.S. tech giant Apple in its bid.


Tai Jeng-wu, Sharp's president and chief executive officer, later told reporters that he thought the Toshiba deal had become "too political."


"Foxconn thought it was a simple deal, but apparently it was not," Tai said.


Speaking from his own experience in running Sharp, Tai said that while Japanese companies are famous for their professionalism and attention to detail, they would only benefit greatly if they have an open mind and welcome new members outside of their group.


"A great city is great not because it is old, but because it is diverse," he said.


Tai said he came to Sharp alone without bringing a team of his own, thus transforming the company into a "healthy" one.

Toshiba to pick government-led Japan-U.S.-Korea group to buy chips unit-source


Embattled Toshiba Corp (6502.T) will pick a Japanese government-led group of Japanese, U.S. and South Korean firms and funds to buy the conglomerate's semiconductor business, two people briefed on the matter said on Tuesday.


The consortium, whose bid clears Toshiba's 2 trillion yen ($18 billion) minimum, has been seen as one of the strongest suitors for the unit - the world's No. 2 producer of NAND chips - as it would automatically have the government's stamp of approval, other sources have told Reuters.


Toshiba needs to sell the prized chips unit to cover billions of dollars of losses from its now-bankrupt U.S. nuclear unit.


The three-country group has been fighting to counter a 2.2 trillion yen offer from U.S. chipmaker Broadcom (AVGO.O) and its partner, U.S. private equity firm Silver Lake, which sources have said Toshiba management favors.


The group includes the state-backed fund Innovation Network Corp of Japan, the government's Development Bank of Japan, and U.S. private equity firm Bain Capital. South Korean chipmaker SK Hynix Inc (000660.KS) and the core banking unit of the Mitsubishi UFJ Financial Group Inc (8306.T) are to provide financing under the consortium's proposal, sources have said.


Another person with direct knowledge of the matter said Toshiba's board will vote on a preferred bidder on Wednesday and announce the result through the Tokyo Stock Exchange.


A Toshiba spokeswoman said the company cannot comment on specifics of the sale process.
 
The Japan-U.S.-Korea bid has been orchestrated in large part by Japan's trade ministry, which wants to keep the valuable chip unit under domestic control.


But Toshiba wants to complete the deal as quickly as possible to help cover massive cost overruns at its Westinghouse Electric Co nuclear unit, which went bankrupt in March, and to dig itself out negative shareholders' equity that could lead to a delisting.


The conglomerate wants to reach a definitive agreement on a buyer by its June 28 annual shareholders meeting.
 
The consortium had told Toshiba it needs to resolve a legal dispute with Toshiba's U.S. chip-venture partner Western Digital Corp (WDC.O) before it will invest in the firm's chip unit, sources briefed on the matter said before the decision.


Western Digital has sought a U.S. court injunction to prevent its partner from selling the chip business without the U.S. firm's consent. Chief Executive Steve Milligan said this month that Toshiba was violating contractual rights and had left the U.S. firm no choice but to pursue legal action.


A condition that Western Digital, which has proposed its own bid, essentially drop its legal action could pave the way for the California-based firm to join the government-led consortium.


"The ball is now in Western Digital's court," a source said.


But Western Digital is reluctant to join the group in its current form due to worries that sensitive technologies belonging to its joint venture with Toshiba could be leaked to rival SK Hynix, sources said.


It regards their technology in NAND semiconductors, which provide long-term data storage, as on par with that of industry leader Samsung Electronics (005930.KS). By contrast, SK Hynix is weak in NAND although strong in DRAM chips, which help electronic devices perform multiple tasks at once.


Western Digital declined to comment.


Foxconn, the world's largest contract electronics maker, is also a suitor. Formally known as Hon Hai Precision Industry (2317.TW), the Taiwanese firm is leading a consortium that includes Apple Inc (AAPL.O) and computing giant Dell Inc.

Western Digital to raise Toshiba chip offer in last-ditch bid: source

Western Digital Corp (WDC.O) plans to raise its offer for Toshiba Corp's (6502.T) prized semiconductor unit to $18 billion or more, a person familiar with the matter said, in a last-ditch effort to clinch a deal both companies consider vital.

The U.S. chipmaker is part of a consortium led by a Japanese government-backed fund. The group will present the new offer of 2 trillion yen or more by Thursday, when the struggling Japanese conglomerate is due to choose a preferred bidder for its Toshiba Memory Corp unit, the world's second-largest producer of NAND memory chips, the person told Reuters on Saturday.

Toshiba has been favoring a rival bid from U.S. chipmaker Broadcom Ltd (AVGO.O), which has partnered with U.S. private equity firm Silver Lake to offer 2.2 trillion yen, people familiar with the matter have told Reuters.

A spokesman for Western Digital had no comment. Toshiba could not immediately be reached for comment.

Toshiba had set a 2 trillion yen threshold for the sale as it rushes to find a buyer to cover billions of dollars in cost overruns at its now-bankrupt U.S. nuclear business Westinghouse Electric Corp.

The offer by Western Digital, a long-time partner of the laptops-to-nuclear conglomerate's lucrative chips division, comes as uncertainty about the make-up of the groups bidding for Toshiba's crown jewel has increased.

Western Digital has been seen by some sources as crucial to successful deal, as it jointly operates a key flash-memory chip plant with Toshiba in western Japan.


AT LOGGERHEADS

But the two companies have been at loggerheads over the auction. Western Digital is pursuing an international arbitration claim that Toshiba has breached joint-venture contracts by entertaining outside bids.

Western Digital argues that the sale cannot proceed without its consent but the U.S. firm will drop its claim if Toshiba agrees to the new offer, the source said on Saturday.

Toshiba is concerned an acquisition by Western Digital would run into antitrust objections from China and elsewhere as the U.S. firm is the world's third-largest NAND producer behind South Korea's Samsung Electronics Co (005930.KS) and Toshiba.

To counter those concerns, the Western Digital portion of the consortium's new offer will be in the form of a debt purchase whereas the U.S. firm had previously been looking for an equity stake in Toshiba Memory, the source said.

The Japan-Western Digital consortium initially offered 1.6 trillion yen, sources have said. CEO Steve Milligan then raised the offer to close to 2 trillion yen on Friday in a meeting with Toshiba CEO Satoshi Tsunakawa, the source said on Saturday.
But Toshiba expressed dissatisfaction with Friday's bid. "Our concerns about the prospects of success for a deal were not wiped out," a Toshiba spokeswoman said.

That set the stage for the latest offer of 2 trillion yen, or more.

In Friday's meeting, Toshiba's Tsunakawa asked if Western Digital "could further increase the price", the source said, adding that the U.S. firm would modify its proposal, "to align with their thinking".

Western Digital's new offer will also include a commitment to $25 billion dollars in capital spending for the joint venture's Yokkaichi facility, including building two fabrication plants, the source said.

It will also pledge $39 billion for research and development and money to boost the local economy, while expanding the workforce there by five percent a year for two years, he said.
